Terms of Service

These Terms of Service ("Terms," "Agreement") govern your access to and use of the FieldOps platform ("Service," "Platform") operated by FieldOps ("we," "us," "our"). By accessing or using the Platform in any way — including creating an account, activating a subscription, or using any feature — you ("User," "you") agree to be bound by these Terms. If you do not agree, you must discontinue use of the Platform immediately. These Terms apply to all users, including contractors, business owners, administrators, employees, and any other individual accessing the Platform under a company account.

1. Platform Usage Rules

1.1 Lawful Use Only

You agree to use the Platform solely for lawful purposes and in a manner consistent with all applicable federal, state, local, and international laws and regulations. Without limiting the foregoing, you agree not to use the Platform:

  • To engage in any activity that is fraudulent, deceptive, misleading, or otherwise unlawful
  • To violate the rights of any third party, including intellectual property rights, privacy rights, or contractual rights
  • To transmit, store, or process any data that is defamatory, obscene, threatening, or otherwise objectionable
  • To facilitate any transaction that violates applicable law, including money laundering, tax evasion, or sanctions violations
  • To collect or harvest personal data about other users without their explicit consent
  • In any manner that could disable, overburden, or impair the Platform or interfere with other users' access

1.2 Prohibited Conduct

The following conduct is strictly prohibited and constitutes grounds for immediate account suspension or termination without notice:

  • Unauthorized Access: Attempting to gain unauthorized access to any portion of the Platform, its related systems, or the accounts of other users through hacking, password mining, credential stuffing, or any other means.
  • Reverse Engineering: Attempting to reverse engineer, decompile, disassemble, or otherwise derive the source code, algorithms, or trade secrets of the Platform.
  • Automated Scraping: Using bots, scrapers, crawlers, or other automated tools to access, index, or extract data from the Platform without express written authorization from FieldOps.
  • Abuse of AI Features: Using AI-powered features to generate harmful, misleading, or fraudulent content, or to attempt to manipulate AI models through adversarial inputs, prompt injection, or jailbreaking techniques.
  • Resource Abuse: Placing disproportionate or unreasonable load on Platform infrastructure, including through excessive API calls, bulk data operations, or deliberate denial-of-service activity.
  • Credential Sharing: Sharing login credentials with unauthorized users or allowing multiple individuals to access the Platform under a single licensed user account.
  • Competitive Intelligence: Using the Platform to benchmark, analyze, or reverse engineer FieldOps's product features, pricing, or business practices for the benefit of a competing product or service.

1.3 Acceptable Use of Data

All data entered into the Platform must be accurate to the best of your knowledge. You must not enter fabricated, falsified, or malicious data into the Platform. You are solely responsible for ensuring that data you enter relating to your customers, employees, and business operations complies with all applicable data protection and privacy laws.

2. Account Responsibility

2.1 Account Ownership

You are the account holder and are solely responsible for all activity that occurs under your account, regardless of whether such activity is performed by you, your employees, your contractors, or any other person who accesses the Platform using your credentials or under your company account. FieldOps is not liable for any loss or damage arising from your failure to maintain account security.

2.2 Credential Security

You are responsible for maintaining the confidentiality and security of your login credentials, including your email address and password. You must:

  • Use a strong, unique password for your FieldOps account
  • Not share your login credentials with any unauthorized person
  • Log out of your account when using shared or public devices
  • Notify FieldOps immediately at security@fieldops.io if you suspect unauthorized access to your account
  • Take immediate action to secure your account if a breach is suspected, including changing your password

2.3 Administrator Responsibility

If you are an account administrator, you are responsible for managing access controls for all users within your company account, including assigning and revoking roles, permissions, and access levels. You are accountable for the actions of all users operating under your company account. FieldOps provides role-based access controls as a tool, but enforcement of proper access policies within your organization is your responsibility.

2.4 Accurate Account Information

You agree to provide accurate, current, and complete information during account registration and to keep your account information updated. Providing false or misleading registration information constitutes a material breach of these Terms and may result in immediate account termination.

2.5 Multiple Users

Each individual accessing the Platform must use their own licensed user account. Seat-sharing — where multiple people use a single licensed seat simultaneously or sequentially to circumvent per-seat pricing — is prohibited and constitutes a material breach of these Terms.

3. Service Availability

No Uptime Guarantee: FieldOps does not guarantee uninterrupted, error-free, or continuous access to the Platform.

3.1 No Uptime Commitment

FieldOps provides the Platform on an "as available" basis. We make no guarantee, representation, or warranty that the Platform will be available at any particular time, that access will be uninterrupted, or that the Service will be free from errors, defects, outages, or data loss. Platform availability may be affected by factors within and outside of our control, including infrastructure failures, third-party provider outages, maintenance windows, security incidents, and internet connectivity issues.

3.2 Scheduled Maintenance

FieldOps may take the Platform offline temporarily for scheduled maintenance, updates, infrastructure upgrades, or security patching. Where practicable, we will provide advance notice of scheduled maintenance through in-app notifications or email. However, we reserve the right to perform emergency maintenance at any time without notice when required to maintain security or platform integrity.

3.3 No Liability for Downtime

FieldOps shall not be liable for any damages, losses, or consequences arising from Platform unavailability, downtime, slow performance, data access delays, or any interruption to the Service, regardless of the cause or duration of such interruption. This includes but is not limited to losses resulting from missed jobs, delayed operations, failed customer communications, or interrupted business processes.

3.4 Early Access Period

During the early access period, service availability, feature completeness, and platform stability are subject to greater variability than a fully released production product. Users who access the Platform during early access expressly accept this reduced reliability expectation and waive any claims related to service quality during this period.

4. Subscription & Billing Terms

4.1 Subscription-Based Access

Access to the FieldOps Platform requires a paid subscription. Subscription plans are offered on a monthly or annual billing cycle as selected at the time of sign-up. By activating a subscription, you authorize FieldOps and its payment processor (Stripe) to charge your designated payment method on a recurring basis at the applicable subscription rate until your subscription is canceled.

4.2 Recurring Billing

Subscription fees are billed automatically at the start of each billing period (monthly or annual). Charges are processed by Stripe, our third-party payment processor. You acknowledge and agree that:

  • Subscription fees are charged in advance of each billing period
  • Billing continues automatically until you cancel your subscription
  • Annual subscriptions are billed in full at the start of each annual period and are not pro-rated upon cancellation
  • You are responsible for maintaining a valid payment method on file at all times
  • Failed payments may result in immediate suspension of Platform access

4.3 Payment Required for Access

Active, current payment is a prerequisite for accessing the Platform. FieldOps reserves the right to restrict or suspend access to your account immediately upon any payment failure, including declined credit cards, expired payment methods, insufficient funds, or chargebacks. Restoration of access following a payment failure may require payment of any outstanding balance plus any applicable late fees or reactivation fees.

4.4 Price Changes

FieldOps reserves the right to modify subscription pricing at any time. For existing subscribers, price changes will take effect at the start of the next billing cycle following at least thirty (30) days' advance notice. Founding Members' pricing is governed by the separate Founding Member Program terms set forth in the Terms and Conditions.

4.5 Taxes

Subscription fees are exclusive of applicable taxes. You are responsible for all sales, use, goods and services, value-added, or similar taxes imposed by any governmental authority in connection with your use of the Platform. FieldOps may collect applicable taxes from you where required by law.

4.6 No Refunds

All subscription payments are final and non-refundable. For the complete no-refund policy, including all applicable terms and exceptions, please refer to Section 3 of the Terms and Conditions.

5. Termination Rights

5.1 Termination by FieldOps

FieldOps reserves the right, at its sole discretion and without prior notice, to suspend, restrict, or permanently terminate your access to the Platform for any of the following reasons:

  • Non-Payment: Failure to pay any subscription fee, invoice, or other charge when due, including recurring subscription charges that fail to process
  • Policy Violations: Violation of any provision of these Terms of Service, the Terms and Conditions, the Privacy Policy, or any other FieldOps policy
  • Prohibited Conduct: Engaging in any of the prohibited conduct described in Section 1 of these Terms
  • Abuse or Misuse: Use of the Platform in a manner that, in FieldOps's sole judgment, poses a risk of harm to the Platform, other users, or third parties
  • Legal Requirements: Termination required by applicable law, regulation, court order, or governmental authority
  • Extended Inactivity: Account inactivity for an extended period where continued storage of account data is not commercially justified
  • Fraudulent Activity: Suspected or confirmed fraudulent activity, including identity fraud, payment fraud, or misrepresentation

5.2 Suspension Prior to Termination

FieldOps may, at its discretion, suspend your account rather than immediately terminating it, to investigate suspected violations, allow for payment of outstanding balances, or give you an opportunity to cure a breach of these Terms. Suspension does not waive FieldOps's right to subsequently terminate your account. Access to your data may be restricted during a suspension period.

5.3 Effect of Termination

Upon termination of your account for any reason:

  • Your right to access and use the Platform immediately ceases
  • All Founding Member benefits, discounts, and special pricing are permanently and irrevocably forfeited
  • Any outstanding subscription balance becomes immediately due and payable
  • FieldOps is not obligated to retain or provide access to your account data following termination, though it may do so at its discretion for a limited period
  • Provisions of these Terms that by their nature survive termination will continue in full force and effect

5.4 Termination by User

You may terminate your account at any time by canceling your subscription through the billing portal within your account settings. Cancellation will take effect at the end of your current paid billing period. No refunds will be issued for unused time in the current billing period. Cancellation results in immediate and permanent forfeiture of any Founding Member status and associated pricing benefits.

6. Limitation of Service

6.1 Features May Change

FieldOps is a live, actively developed SaaS product. We continuously update, expand, and refine the Platform. You acknowledge and agree that:

  • Features, workflows, interfaces, and integrations may be added, modified, redesigned, or removed at any time and without prior notice
  • Access to a specific feature today does not constitute a commitment to maintain that feature in its current form or at all
  • AI-powered features are subject to model updates that may change the nature or quality of outputs generated
  • Third-party integrations may be discontinued if the underlying third-party service changes its API, terms, or availability
  • Mobile and field mode features may differ across devices and operating system versions

6.2 Plan-Based Feature Access

Access to specific Platform features is governed by your subscription plan tier. Features available under one plan tier may not be available under another. FieldOps reserves the right to adjust which features are included in each plan tier at any time, subject to providing reasonable advance notice to affected subscribers where such changes materially reduce functionality included in a paid plan.

6.3 Usage Limits

Certain plan tiers may include usage limits, including but not limited to limits on the number of active users, jobs, estimates, invoices, storage capacity, AI query volume, or API calls per billing period. Exceeding applicable usage limits may result in feature restrictions, throttling, or an automatic prompt to upgrade your subscription plan.

6.4 Third-Party Dependencies

Certain Platform features depend on third-party services, including but not limited to Stripe (billing), Mapbox (routing), SendGrid/AWS SES (email), and AI model providers. FieldOps is not responsible for the availability, accuracy, or performance of third-party services, and degradation or discontinuation of a third-party service may affect the availability of related Platform features.

6.5 No Warranty of Fitness

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. FIELDOPS EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. FIELDOPS DOES NOT WARRANT THAT THE PLATFORM WILL MEET YOUR SPECIFIC BUSINESS REQUIREMENTS OR THAT IT WILL OPERATE WITHOUT INTERRUPTION OR ERROR.

7. Liability Disclaimer

Important: FieldOps is not responsible for business outcomes resulting from use of the Platform. Read this section carefully.

7.1 No Responsibility for Business Outcomes

FieldOps is a software tool. It does not manage your business, make business decisions on your behalf, or guarantee any particular business outcome. The results achieved through use of the Platform — including job profitability, revenue growth, operational efficiency, customer retention, or any other business metric — depend entirely on how you and your team use the Platform, the quality of data you input, and external business factors beyond FieldOps's control. FieldOps makes no representation or warranty that use of the Platform will result in any particular business outcome.

7.2 No Liability for Operational Decisions

FieldOps is not liable for any operational decision you make using information, reports, recommendations, or AI outputs generated by the Platform, including but not limited to:

  • Hiring, firing, or assignment decisions made based on crew performance data
  • Pricing or bidding decisions made based on AI suggestions or historical estimate data
  • Scheduling or routing decisions made based on Platform recommendations
  • Financial decisions made based on dashboard reports, projections, or cash flow summaries
  • Customer relationship decisions made based on Platform data or CRM features
  • Payroll processing decisions made based on timesheet data within the Platform

7.3 Exclusion of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FIELDOPS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR OTHER DAMAGES OF ANY KIND ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, LOSS OF DATA, BUSINESS INTERRUPTION, REPUTATIONAL HARM, OR COST OF SUBSTITUTE SERVICES, EVEN IF FIELDOPS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7.4 Maximum Liability

IN ALL CASES, FIELDOPS'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM, REGARDLESS OF THE FORM OF THE ACTION, SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS PAID BY YOU TO FIELDOPS IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

7.5 Indemnification

You agree to defend, indemnify, and hold harmless FieldOps and its officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Platform, your business operations, or any third-party claim arising from your use of the Platform.

7.6 Governing Law

These Terms of Service and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the United States and the state in which FieldOps is incorporated, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in FieldOps's state of incorporation for resolution of any disputes arising under these Terms.

8. Agreement & Related Policies

These Terms of Service are part of the broader legal framework governing your use of FieldOps. They should be read together with the following documents, all of which are incorporated herein by reference:

  • Terms & Conditions — Founding Member Program, no-refund policy, AI disclaimer, financial disclaimer, and limitation of liability
  • Privacy Policy — Data collection, use, storage, and third-party sharing practices

In the event of a conflict between these Terms of Service and the Terms and Conditions, the Terms and Conditions shall control with respect to billing, refund, and Founding Member matters. FieldOps reserves the right to update these Terms of Service at any time. Continued use of the Platform following notice of any update constitutes your acceptance of the revised Terms.
