Please read these Terms and Conditions ("Agreement") carefully before accessing or using the FieldOps platform ("Service," "Platform," "FieldOps"). By creating an account, joining the waitlist, activating a Founding Member subscription, or otherwise using any part of the FieldOps Service, you ("User," "you," "your") acknowledge that you have read, understood, and agree to be legally bound by every provision set forth in this Agreement. If you do not agree to these Terms in their entirety, you must immediately cease all use of the Platform.

1. Overview of the Platform

FieldOps is a contractor-focused Software-as-a-Service ("SaaS") platform designed to help field service businesses manage their day-to-day operations more efficiently. The platform provides a suite of integrated tools including, but not limited to:

  • Scheduling & Dispatch — Drag-and-drop calendar scheduling, crew assignment, route optimization, and automated job queue management.
  • Estimates & Proposals — Line-item estimate creation, version history, customer approval portals, PDF generation, and estimate-to-job conversion.
  • Financial Dashboards — Revenue tracking, cash flow projections, payroll summaries, commission reporting, and profit-and-loss overviews.
  • AI-Powered Tools — Smart estimate suggestions, job autopsy analysis, profit leak detection, crew performance benchmarks, and scheduling recommendations generated by artificial intelligence.
  • Timesheets & Labor Tracking — Employee and crew clock-in/clock-out, manual time entry, payroll period management, and supervisor approval workflows.
  • Work Orders & Job Management — Work order lifecycle management, crew assignments, phase tracking, materials, and customer communication.
  • Customer Relationship Management (CRM) — Customer records, activity timelines, notes, tasks, invoices, statements, and portal access.
  • Invoicing & Payments — Invoice generation, Stripe payment processing, aging summaries, and financial reporting.
  • Field Mode & Mobile Access — Mobile-optimized interfaces for field technicians to clock in, record progress, submit issues, and complete jobs.

FieldOps is sold as a subscription service. Access to features varies by plan tier. FieldOps reserves the right to add, modify, or remove features at any time without prior notice. Feature availability is not guaranteed and is subject to change based on platform development priorities, business requirements, and technical feasibility.

FieldOps is headquartered in the United States. All services, transactions, and agreements are governed under U.S. law unless explicitly stated otherwise. By using the Platform, you represent that you are at least 18 years of age and have the legal authority to enter into a binding agreement on behalf of yourself or the organization you represent.

2. Founding Member Program

2.1 Program Description

FieldOps offers a limited-time Founding Member Program ("Founder Program") to early adopters who join the platform during the designated early access period. Founding Members receive a permanent 50% discount applied to their base subscription price for as long as the account remains active and in good standing ("Founder Discount" or "50% Off for Life").

2.2 Eligibility Conditions

The Founder Discount is subject to the following non-waivable conditions. All conditions must be met simultaneously and continuously. Failure to meet any single condition constitutes grounds for immediate and permanent loss of Founding Member status and the associated discount:

  • Active Account: The account must remain active, meaning the User must not voluntarily cancel, pause, freeze, or request deactivation of their subscription at any time. A lapsed, paused, or suspended account does not qualify as active.
  • Current Payments: All invoices, subscription charges, and any applicable fees must be paid in full and on time. Accounts with outstanding balances, declined payments, chargebacks, or payment disputes will lose Founding Member status immediately upon the payment becoming past due.
  • Good Standing: The account must remain in good standing as determined solely by FieldOps. Good standing requires compliance with all provisions of this Agreement, FieldOps usage policies, community standards, and any additional terms applicable to your subscription tier.
  • Original Accountholder: The Founder Discount is tied to the original account and accountholder. The discount does not transfer to new accounts, new users, or any third party.

2.3 Permanent Loss of Founder Status

Founding Member status and the associated 50% discount are permanently and irrevocably forfeited under any of the following circumstances:

  • Voluntary account cancellation at any time for any reason
  • Payment failure that results in subscription lapse, including failed auto-renewal
  • Chargebacks, payment disputes, or fraudulent payment activity
  • Violation of these Terms and Conditions or any FieldOps usage policy
  • Account suspension or termination by FieldOps for any reason
  • Failure to upgrade or maintain the minimum required plan tier for Founding Member eligibility

Once Founding Member status is lost, it cannot be restored, reinstated, or reapplied under any circumstances, regardless of the reason for forfeiture. This policy is absolute and no exceptions will be made. Any subsequent reactivation of the account will be billed at the then-current standard rates.

2.4 Program Limitations

The Founder Program discount applies only to the base subscription price and does not extend to add-ons, additional seat licenses, premium feature modules, professional services, onboarding packages, or any other supplemental charges. FieldOps reserves the right to modify the terms of the Founder Program prospectively with thirty (30) days' advance notice to affected accountholders.

3. No Refund Policy

ALL PAYMENTS MADE TO FIELDOPS ARE FINAL AND NON-REFUNDABLE. FieldOps operates under a strict no-refund policy that applies universally and without exception to all transactions processed through the Platform.

This policy applies to, but is not limited to, the following:

  • Monthly and Annual Subscriptions: All subscription fees, whether billed monthly or annually, are non-refundable. Cancellation of a subscription stops future billing but does not entitle the User to a refund of any previously paid amounts, including partial-period fees.
  • Subscription Upgrades: Fees paid in connection with upgrading to a higher plan tier are non-refundable, regardless of whether the User downgrades or cancels thereafter.
  • Onboarding & Setup Fees: Any fees associated with onboarding, account setup, data migration assistance, or implementation services are non-refundable once the service has commenced.
  • Add-On Features: Fees for any add-on modules, premium features, integrations, or optional services purchased in addition to the base subscription are non-refundable.
  • Additional Seat Licenses: Fees for additional user seats or employee licenses added to an account are non-refundable.
  • Early Access Fees: Any fees paid during the early access or beta period are non-refundable regardless of platform performance, feature availability, or bugs encountered.
  • Promo or Discounted Purchases: Payments made at discounted or promotional rates remain non-refundable. A discount does not create any refund entitlement.

FieldOps does not offer pro-rated refunds, partial refunds, service credits, or account credits in lieu of refunds under any circumstances. By completing a purchase or activating a subscription, you expressly waive any right to a refund under applicable law to the fullest extent permitted. If you have questions about your billing before purchasing, contact FieldOps support prior to completing any transaction.

4. No Additional Discounts or Stacking

FieldOps enforces a strict one-discount policy. Only one (1) discount, promotional rate, coupon code, or pricing offer may be applied to a single account at any time. Discounts, promotions, and special pricing offers cannot be combined, stacked, or applied simultaneously with any other discount, offer, or pricing adjustment.

This restriction applies to all forms of discounts, including but not limited to: Founding Member discounts, affiliate referral discounts, coupon codes, limited-time promotions, partnership pricing, and any other negotiated or advertised pricing concessions.

In the event that a User attempts to apply multiple discounts, FieldOps reserves the right to apply only the single most favorable eligible discount and discard all others. FieldOps also reserves the right to remove any improperly stacked discounts from an account, including retroactively, and to collect any resulting underpayment.

Discounts are non-transferable and are specific to the account for which they were issued. Discounts do not carry over to upgraded plans, new accounts, or other billing periods unless explicitly stated in a separate written agreement signed by an authorized FieldOps representative.

5. Early Access & Beta Platform Disclaimer

FieldOps is currently offered as an Early Access or Beta product. By accessing the Platform during this period, you acknowledge and accept the following conditions inherent to early access software:

  • Software Defects: The Platform may contain bugs, errors, performance issues, data inconsistencies, or other defects that may affect usability. FieldOps makes no warranty that the Platform will be error-free, uninterrupted, or free of security vulnerabilities during the early access period.
  • Feature Changes: Features, workflows, interfaces, and functionality may be added, modified, redesigned, deprecated, or removed at any time without prior notice. Access to a feature today does not guarantee continued access to that feature in its current form or at all.
  • Data & Workflow Changes: Business workflows, data structures, integrations, and operational processes within the Platform may change significantly as the product matures. Users should not rely on the Platform as the sole system of record for critical business data without maintaining independent backups.
  • Availability: The Platform may experience downtime, maintenance windows, or service interruptions. FieldOps does not guarantee any specific level of uptime or availability during the early access period and is not liable for losses resulting from service unavailability.
  • Pricing Changes: Subscription pricing, plan tiers, and feature inclusions may change as the platform transitions out of early access. Founding Member pricing is governed separately by Section 2 of this Agreement.

Your continued use of the Platform during the early access period constitutes your acceptance of these conditions. FieldOps will endeavor to communicate major changes in advance, but is not obligated to do so.

6. Artificial Intelligence (AI) Disclaimer

IMPORTANT: AI-generated outputs within FieldOps are experimental tools for informational assistance only. They do not constitute professional advice of any kind.

FieldOps incorporates artificial intelligence and machine learning features, including but not limited to: smart estimate generation, job autopsy analysis, profit leak detection, crew performance analysis, AI scheduling recommendations, and AI-assisted pricing suggestions. By using any AI-powered feature within the Platform, you expressly acknowledge and agree to the following:

6.1 No Accuracy Guarantee

AI-generated outputs, recommendations, suggestions, analyses, summaries, or predictions are not guaranteed to be accurate, complete, current, or suitable for any particular purpose. AI models generate probabilistic outputs based on training data and algorithms that may produce incorrect, outdated, biased, or incomplete results. FieldOps makes no representation that any AI output is factually correct or actionable.

6.2 Not Professional Advice

AI outputs generated by FieldOps do not constitute and must not be construed as legal advice, financial advice, accounting advice, tax advice, business advice, professional consulting, or any other form of regulated professional guidance. No AI feature within FieldOps is a substitute for a licensed professional in any field.

6.3 User Verification Required

Users are solely responsible for independently verifying all AI-generated outputs before acting upon them. You must not make business, financial, legal, operational, or personnel decisions based solely on AI recommendations without independent verification by qualified human professionals. FieldOps strongly recommends consulting qualified experts before acting on any AI-generated insight.

6.4 No Liability for AI Decisions

FieldOps expressly disclaims all liability for any decisions made by users or their agents based on AI-generated outputs. Any loss, damage, harm, financial consequence, legal consequence, or operational disruption arising from reliance on AI features is solely the responsibility of the User. FieldOps shall have no obligation to indemnify, compensate, or otherwise make whole any User for damages arising from the use of or reliance on any AI-powered feature.

7. Financial Dashboard & Data Disclaimer

CRITICAL: FieldOps financial tools are informational only. They are not a substitute for professional accounting, tax, or financial advisory services.

7.1 Informational Purpose Only

The financial dashboards, reports, projections, cash flow analyses, revenue summaries, payroll estimates, commission calculations, profit-and-loss overviews, and all other financial data displays within FieldOps are provided strictly for informational and operational reference purposes only. They are not prepared, reviewed, or certified by any licensed accountant, CPA, financial advisor, or tax professional.

7.2 Not Accounting or Tax Advice

Nothing within the FieldOps Platform, including any financial dashboard, report, calculation, projection, or data summary, constitutes accounting advice, tax advice, financial planning advice, investment advice, or any other form of regulated financial or professional guidance. FieldOps is a business operations platform, not an accounting system, and should not be treated as such.

7.3 Consult Licensed Professionals

Users are strongly advised to consult qualified, licensed professionals for all matters relating to business finance, including but not limited to:

  • A Certified Public Accountant (CPA) for tax preparation, financial statement preparation, and accounting compliance
  • A Licensed Financial Advisor for investment decisions, business financing, and long-term financial planning
  • A Bookkeeper or Controller for day-to-day accounting record maintenance
  • A Payroll Specialist for payroll tax compliance, wage and hour law compliance, and benefits administration
  • A Business Attorney for legal matters related to contracts, liabilities, and business structure

7.4 No Financial Liability

FieldOps is not liable, under any theory of liability, for any financial loss, tax liability, audit finding, regulatory penalty, compliance failure, or other financial harm arising from the User's reliance on any financial data, report, projection, or calculation displayed within or generated by the Platform. Financial figures displayed within FieldOps may be incomplete, delayed, improperly categorized, or otherwise inaccurate due to user input errors, integration limitations, data processing delays, or software defects. Users assume full responsibility for the accuracy of financial records maintained within the Platform.

8. Timesheets, Labor Tracking & Payroll

FieldOps provides timesheet management, clock-in/clock-out functionality, manual time entry, supervisor approval workflows, and payroll period reporting as operational tools to assist in tracking employee labor. By using these features, you acknowledge the following:

8.1 User Responsibility for Accuracy

All time entries, including clock-in/clock-out records, manual time entries, adjustments, edits, and supervisor approvals, are the sole responsibility of the User and their authorized administrators. FieldOps provides the tools but does not verify, audit, or validate the accuracy of any time records entered into the Platform.

8.2 No Payroll Liability

FieldOps is not responsible for payroll errors, payroll tax miscalculations, underpayment, overpayment, or any other payroll-related discrepancy arising from data entered into or calculated by the Platform. Users must independently verify all payroll data before processing payroll using any third-party payroll provider, internal payroll system, or manual calculation method.

8.3 No Labor Law Liability

FieldOps is not liable for labor law violations, wage and hour disputes, overtime miscalculations, break period violations, or any other employment law compliance failures arising from the use of or reliance on the Platform's timesheet or payroll features. Users are solely responsible for ensuring their use of FieldOps complies with all applicable federal, state, and local labor laws, including the Fair Labor Standards Act (FLSA), state wage and hour laws, and any applicable collective bargaining agreements.

8.4 Timesheet Edits

All timesheet modifications, including edits made by supervisors or administrators, are performed at the User's sole discretion and risk. FieldOps logs timesheet changes for audit trail purposes but does not prevent, restrict, or validate such edits. The User is solely responsible for maintaining accurate, lawful, and compliant time records.

9. Estimates, Pricing & Bidding

FieldOps provides estimate creation, line-item pricing, markup calculation, material pricing, assembly templates, AI pricing suggestions, and related tools to assist contractors in preparing proposals and bids. Use of these tools is subject to the following terms:

9.1 User Pricing Responsibility

All pricing decisions, markup rates, labor rates, material costs, overhead allocations, and profit margin targets entered into or generated by FieldOps are entirely the responsibility of the User. FieldOps does not review, approve, validate, or recommend specific pricing for any job, project, or contract.

9.2 No Bid Outcome Liability

FieldOps is not liable for any financial loss, missed profit, business loss, or competitive disadvantage arising from estimates or bids created using the Platform, including losses resulting from underbidding, overbidding, incorrect material cost assumptions, inaccurate labor hour estimates, or unfavorable contract terms accepted based on Platform-generated estimates.

9.3 AI Pricing Suggestions

AI-powered pricing suggestions provided within the estimate builder are subject to the AI Disclaimer set forth in Section 6 of this Agreement. Such suggestions are experimental and for reference only. Users must independently evaluate and approve all pricing before submitting estimates or proposals to customers.

9.4 Approved Estimates

FieldOps facilitates customer estimate approval via the customer portal. The legal enforceability and contractual validity of approved estimates is the sole responsibility of the User. FieldOps does not provide legal review of estimates, does not guarantee that approved estimates constitute legally binding contracts, and is not a party to any agreement between the User and their customers.

10. Scheduling, Dispatch & Operations

FieldOps provides scheduling, dispatch, route optimization, crew assignment, and operational management tools. These tools are designed to assist in planning and organizing field operations. By using these features, you acknowledge the following:

  • Missed Jobs & Appointments: FieldOps is not responsible for missed jobs, missed appointments, customer dissatisfaction, or contract breaches resulting from scheduling errors, failure to act on schedule notifications, system downtime, or any other platform-related issue.
  • Routing & Navigation: Route suggestions, distance calculations, and travel time estimates provided by FieldOps are approximate and depend on third-party mapping services. FieldOps does not guarantee the accuracy of routing data and is not liable for delays, missed routes, or additional costs arising from routing inaccuracies.
  • Crew Assignment: FieldOps AI dispatch recommendations and crew assignment suggestions are informational tools. The User retains full responsibility for all final crew assignment decisions. FieldOps is not liable for performance issues, skill mismatches, or outcomes resulting from crew assignments made using or influenced by Platform recommendations.
  • Notification Delivery: FieldOps is not responsible for the timely or successful delivery of in-app notifications, email alerts, or any other communication sent through or by the Platform.
  • Operational Delays: FieldOps is not liable for operational delays, lost revenue, or customer complaints arising from any failure, inaccuracy, or limitation of the Platform's scheduling or dispatch features.

11. Limitation of Liability

READ THIS SECTION CAREFULLY. It limits FieldOps's legal liability to you.

11.1 No Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FIELDOPS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or business information
  • Business interruption or operational disruption
  • Loss of goodwill or reputation
  • Costs of procuring substitute goods, services, or technology
  • Any decisions made using or based upon the Platform, its data, AI outputs, or recommendations
  • Financial losses arising from the use of financial dashboards, estimates, or AI features
  • Labor, payroll, or employment-related losses arising from timesheet or payroll features
  • Losses arising from scheduling errors, routing inaccuracies, or dispatch recommendations

11.2 Liability Cap

In all cases, FieldOps's total cumulative liability to you for any claim arising out of or related to this Agreement or the Platform, regardless of the form of the action or the theory of liability, shall not exceed the total amount paid by you to FieldOps in the three (3) months immediately preceding the event giving rise to the claim.

11.3 Basis of the Bargain

You acknowledge that FieldOps has set its prices and entered into this Agreement in reliance upon the disclaimers of warranties and the limitations of liability set forth herein, that these provisions reflect a reasonable and fair allocation of risk between the parties, and that these provisions form an essential basis of the bargain between the parties.

12. Account Suspension & Termination

12.1 Termination by FieldOps

FieldOps reserves the right, at its sole discretion, to suspend, restrict, or permanently terminate any account, with or without notice, for any of the following reasons:

  • Nonpayment: Failure to pay any subscription fee, invoice, or other charge when due
  • Policy Violations: Any violation of these Terms and Conditions or any FieldOps usage policy
  • Misuse: Abusive, fraudulent, deceptive, or illegal use of the Platform or any of its features
  • Security Threats: Activity that poses a security risk to the Platform, other users, or FieldOps infrastructure
  • Chargebacks or Disputes: Initiation of a chargeback or payment dispute against FieldOps
  • False Information: Providing false, misleading, or fraudulent information during registration or account management
  • Harmful Conduct: Any conduct that FieldOps reasonably believes may harm FieldOps, its users, partners, or reputation

12.2 Effect of Termination

Upon termination, your right to access and use the Platform immediately ceases. Any Founding Member status, associated discounts, and pricing benefits are permanently forfeited. FieldOps is not obligated to provide a data export or access to your account data following termination, though it may do so at its sole discretion within a reasonable timeframe. All provisions of this Agreement that by their nature should survive termination shall survive, including but not limited to payment obligations, disclaimers, and limitations of liability.

12.3 Termination by User

Users may cancel their subscription at any time through the billing portal. Cancellation stops future billing charges but does not entitle the User to any refund for amounts previously paid. Cancellation results in immediate and permanent forfeiture of Founding Member status and the associated discount. Access to the Platform continues until the end of the current paid billing period following cancellation, unless FieldOps terminates access earlier pursuant to Section 12.1.

13. Non-Transferability of Accounts & Benefits

Your FieldOps account, subscription, Founding Member status, and all associated benefits are personal and non-transferable. The following restrictions apply:

  • Account Non-Transferability: Your account and login credentials may not be transferred, sold, assigned, sublicensed, or otherwise conveyed to any third party. Sharing of account credentials with unauthorized users is prohibited and may result in account termination.
  • Founding Member Status: Founding Member status and the 50% lifetime discount cannot be transferred to another person, entity, account, or organization under any circumstances, including in the event of a business sale, ownership transfer, merger, acquisition, or any other corporate event.
  • Business Transfers: In the event that a User's business is sold or transferred to a new owner, the new owner must create a new FieldOps account and will be subject to then-current standard pricing. No Founding Member benefits transfer as part of a business sale or transfer of assets.
  • Pricing Benefits: Any negotiated pricing, promotional rates, or special pricing arrangements are tied to the original account and are not transferable or assignable.

Any attempted transfer of an account, Founding Member status, or associated benefits in violation of this section shall be null and void and may result in immediate account suspension or termination.

14. User Acknowledgement & Agreement

By creating an account, activating a subscription, joining the waitlist, or otherwise using any part of the FieldOps Platform, you expressly acknowledge, confirm, and agree to the following:

  • You have read and understood these Terms and Conditions in their entirety and agree to be bound by them.
  • You understand and accept that FieldOps is an early access product and may contain bugs, errors, and incomplete features.
  • You understand that all payments are final and non-refundable under any and all circumstances.
  • You understand that Founding Member status and the 50% lifetime discount require continuous active account status, current payments, and good standing — and that forfeiture is immediate, permanent, and non-reversible upon failure to meet any condition.
  • You understand that only one discount may be applied to your account and that discounts may not be combined or stacked.
  • You understand that AI-generated outputs are not professional advice and that you are solely responsible for verifying all AI recommendations before acting upon them.
  • You understand that financial dashboards and reports are informational only and are not a substitute for advice from a licensed CPA, accountant, or financial advisor.
  • You understand that FieldOps is not responsible for payroll errors, labor law compliance, scheduling failures, routing inaccuracies, estimate outcomes, or any other business decisions made using the Platform.
  • You understand that FieldOps's total liability to you is limited as described in Section 11, and that FieldOps is not liable for indirect, consequential, or business damages.
  • You understand that your account and all associated benefits, including Founding Member status, are non-transferable.
  • You confirm that you are at least 18 years of age and have the legal authority to enter into this Agreement on behalf of yourself or your organization.

These Terms and Conditions constitute the entire agreement between you and FieldOps with respect to the subject matter herein and supersede all prior or contemporaneous representations, understandings, agreements, or communications between the parties, whether written or verbal, relating to such subject matter. FieldOps reserves the right to amend these Terms at any time. Continued use of the Platform following notice of any such amendment constitutes your acceptance of the revised Terms.
